Summary Explanation/Background
THE HUMAN SERVICES DEPARTMENT AND THE COMMUNITY PARTNERSHIPS DIVISION RECOMMEND APPROVAL OF THE ABOVE MOTIONS.
These actions support the Commission’s value of “building partnerships and working collaboratively with others to meet shared objectives” and the goal of “delivering accessible human services that holistically address the whole person collaboratively and compassionately.” The First Amendment enables the revision and replacement of Exhibit D-2, Outcomes, and Exhibit E, Required Reports and Submission Dates, for Agreement No. 24-CP-HCS-0375-01.
On December 12, 2023 (Item No. 11), the Commission approved a sole source determination for Henderson Behavioral Health, Inc. (“Henderson”), to provide crisis screening and stabilization services to adults experiencing poverty who reside in Broward County and need voluntary or involuntary intervention for mental illness under Chapter 394, Part I, Florida Statutes. Under that same item, the Commission approved an Agreement between Broward County and Henderson Behavioral Health, Inc., in the amount of $531,000, from October 1, 2023, through September 30, 2024, with four one-year renewal periods.
On August 21, 2025 (Item No. 57), the Commission approved the renewal of the Crisis Stabilization Unit (“CSU”) Agreement with Henderson, in the amount of $531,000, effective October 1, 2025, through September 30, 2026. On November 21, 2025, through a contract adjustment, the funding amount for the CSU Agreement was increased to $581,000, effective November 1, 2025.
This item requests Commission approval to revise and replace Exhibit D-2, Outcomes, to enable Henderson to measure Client satisfaction at discharge rather than after 30 days, and to revise and replace Exhibit E, Required Reports and Submission Dates to remove requirements due to changes in the law.
Retroactive approval is requested due to protracted negotiations with Henderson.
This First Amendment (Exhibit 1) has been reviewed and approved for legal sufficiency by the County Attorney’s Office.
Approval of this item would give rise to certain employment conflicts under Section 112.313(7)(a), Florida Statutes, which provides that "no public officer... shall have or hold any employment or contractual relationship with any business entity... which is... doing business with an agency of which he or she is an officer or employee." In accordance with 112.313(12), Florida Statutes, Commission approval is required to waive any conflict of interest arising under Section 112.313(7)(a), Florida Statutes. An effective waiver requires two-thirds vote of the Commission after disclosure of the conflicting relationship (Motion B) in accordance with Section 112.313(12), Florida Statutes. Form 4A, Disclosure of Business Transaction, Relationship, or Interest, is attached as Exhibit 2 and constitutes full disclosure of any existing conflict.
