Why Action is Necessary

In accordance with Sections 21.47 and 21.53 of the Broward County Procurement Code, this Sixth Amendment requires Broward County Board of County Commissioners (“Board”) approval.

Summary Explanation/Background

THE AVIATION DEPARTMENT RECOMMENDS APPROVAL OF THE ABOVE MOTION.

 

On June 16, 2020 (Item No. 75), the Board approved the Agreement between Broward County and Sunshine Cleaning Systems, LLC (“Sunshine”) for Janitorial Services at FLL, including Terminals 1, 2, 3, and 4 and the Airport Operations Control Center (“Agreement”). The Agreement provided for an initial three-year term, commencing on August 1, 2020, and two one-year renewal options. The Director of Purchasing exercised the first one-year renewal option, which extended the Agreement through July 31, 2024.

 

On September 2, 2020, the Director of Purchasing approved and executed the First Amendment to the Agreement, which amended Article 13, Payment and Performance section, by excluding the Optional Services amount from the bond.

 

On January 18, 2022, the County Administrator approved and executed the Second Amendment to the Agreement, which authorized Sunshine to pay employees public health emergency wages during the COVID-19 pandemic and authorized a retention payment of $6.25 per hour worked, with a maximum amount of $1,000, to employees who remained employed post-pandemic.

 

On January 20, 2023, the County Administrator, through authorization by the Board on December 13, 2022 (Item No. 25), approved and executed the Third Amendment to the Agreement, which authorized adjusted amounts payable to Sunshine as a result of updates to the Broward County Living Wage Ordinance.

 

On April 16, 2024 (Item No. 60), the Board approved the Fourth Amendment to the Agreement, which effectuated the second extension of the Agreement by one year and increased the not-to-exceed amount of the Agreement for Services by $20,914,350, plus Optional Services in the not-to-exceed amount of $1,405,683.

 

On May 20, 2025 (Item No. 52), the Board approved the Fifth Amendment to the Agreement, which, among other things, extended the Agreement through July 31, 2026.

 

The proposed Sixth Amendment extends the term of the Agreement through January 31, 2027, unless terminated earlier by the Director of Purchasing. The Sixth Amendment provides time to negotiate and award a new agreement, which has been delayed due to objections and protests as part of the procurement for same, and to facilitate a smooth transition of janitorial services at FLL.

 

The proposed Sixth Amendment increases the maximum not-to-exceed amount of the Agreement for Services by $14,880,473, including $4,005,011 in Optional Services, and updates certain terms and conditions in the Agreement.

 

The obligations in the Agreement to comply with the Living Wage Ordinance will continue throughout the extension period.

 

The proposed Sixth Amendment has been reviewed and approved as to form by the Office of the County Attorney.
