Why Action is Necessary

In accordance with Broward County Procurement Code, Section 21.47(a), Award and Execution Authority, Board approval is required for awards with a value of more than $500,000, inclusive of the value of any renewals or extensions provided for in the contract.

 

In accordance with Florida Statutes Section 332.0075(3)(b), a governing body must approve, award, or ratify contracts for the purchase of commodities or contractual services executed by or on behalf of a large hub airport in an amount that exceeds $1,500,000 as a separate line item on the agenda and must provide a reasonable opportunity for public comment. Such contracts may not be approved, awarded, or ratified as part of a consent agenda.

 

What Action Accomplishes

Provides for an open-end contract for preventative maintenance, and routine and emergency repair services on the Passenger Loading Bridges located at Port Everglades and at Fort Lauderdale-Hollywood International Airport.

Summary Explanation/Background

THE PURCHASING DIVISION AND THE PORT EVERGLADES DEPARTMENT RECOMMEND APPROVAL OF THE ABOVE MOTION.

 

The Office of Economic and Small Business Development (OESBD) established a County Business Enterprise Goal of 20% for this contract. Adelte Technologies, Inc. committed to 20% CBE participation, which has been reviewed and approved by OESBD (Exhibit 2).

 

The purpose of this contract is to provide preventative maintenance, and routine and emergency repair services for 11 FMT Aircraft Gate Support Systems (FMT) brand Mobile Telescopic Bridges and four FMT brand Mobile Elevated Gangway described as Passenger Loading Bridges located at Port Everglades, 63 John Bean Technologies, and three ThyssenKrupp Passenger Loading Bridges at Fort Lauderdale-Hollywood International Airport.

 

In accordance with Broward County Living Wage Ordinance, Broward County Administrative Code Section 26-101(i), these services are covered services. Adelte Technologies, Inc. has agreed to be bound to the contractual obligations of the Living Wage Ordinance, which includes the minimum wage rate of $17.17/hour and employee benefits of health care and paid time off.

 

In accordance with Broward County Workforce Investment Program, Broward County Administrative Code Section 19.211, these services are subject to the Workforce Investment Program. Adelte Technologies, Inc. has agreed to be bound to the contractual obligations of the Workforce Investment Program.

 

This procurement carries a 100% performance and payment guaranty. The Purchasing Division has confirmed with the surety company that Adelte Technologies, Inc. has the capacity to obtain the required guaranty.

 

The allowance items included in the contract, in the total amount of $1,980,000, include $20,000 for permits, $260,000 for equipment rental services, $550,000 for miscellaneous parts and materials, and $1,150,000 for specialized subcontractors. Expenditures under these allowance items must be approved by the Contract Administrator and will be reimbursed at the contractor's actual incurred cost, without mark-up (Exhibit 1).

 

The apparent low bidder, Sate Solutions Inc (Sate), disclosed in its submittal that the firm’s principal was been debarred by a government entity within the last three years. The Purchasing Division verified that the parent company, Halmag Solutions Inc, is currently debarred and is excluded from contracting with Miami-Dade County for a two-year period (from May 17, 2023 through May 16, 2025). Sate also disclosed a current material case of its parent company, Halmag Solutions, Inc. The case was reviewed with the County Attorney’s Office and it was determined that the case was material and presents a concern regarding the vendor’s responsibility. The Port Everglades Department issued a Non-Concurrence to award Sate (Exhibit 3). The Director of Purchasing determined Sate as non-responsible, in accordance with Procurement Code Section 21.40(b)(1).

 

The Port Everglades Department has reviewed the bid submitted by Adelte Technologies, Inc. and concurs with the recommendation for award (Exhibit 4). No County vendor performance evaluations have been completed for Adelte Technologies, Inc.

 

The prices submitted are fair and reasonable based on staff engineer's cost estimate (Exhibit 5).

 

Incumbent: Sate Solutions Inc. Contract Number and Title: PNC2122671Q2, Passenger Loading Bridge Maintenance & Repair Services, Contract Term: June 15, 2021 through September 14, 2023, and extended on a month-to-month basis for solicitation and award of new contract; Expenditures to date: $3,257,958. Upon award of contract to Adelte Technologies, Inc., contract will end and no additional orders will be placed.

 

The bid was advertised on August 9, 2023 and opened on September 11, 2023; two bids were received with six declinations (Exhibit 1).

 

The Recommendation for Award was posted on the Purchasing Division website from November 3 - 13, 2023. There was no protest or appeal filed against this procurement.

The contract consists of the County’s solicitation and the vendor’s response.

 

Initial Contract Period

The initial contract period begins on the date of award and terminates one year from that date.
