MOTION TO APPROVE renewal of Contract No. DC117 between the State of Florida Department of Health and Broward County, effective November 25, 2025, through November 9, 2028, to track and improve linkages to HIV-related medical care and treatment for individuals living with HIV in Broward County; authorize Mayor and Clerk to execute same; and authorize the County Administrator to take all necessary administrative actions to implement the Agreement.
B. MOTION TO APPROVE waivers of conflict under Section 112.313(7)(a), Florida Statutes, for the following Broward County advisory board members holding an employment or contractual relationship with an entity receiving funds for the performance of services under this agenda item:

Why Action is Necessary
A. Broward County Board of County Commissioners (“Commission”) approval is required for agreements with external agencies.
B. A waiver of conflict arising under Section 112.313(7)(a), Florida Statutes, requires two-thirds approval by the Commission.
What Action Accomplishes
Approval of Motion A enables Broward County to continue to collaborate with the State of Florida Department of Health (“FDOH”) to track and improve linkages to HIV-related medical care and treatment for individuals living with HIV in Broward County.
Approval of Motion B waives the existence of any conflicts arising under Section 112.313(7)(a), Florida Statutes, as authorized under applicable law.

Summary Explanation/Background
HE HUMAN SERVICES DEPARTMENT AND THE COMMUNITY PARTNERSHIPS DIVISION RECOMMEND APPROVAL OF THE ABOVE MOTIONS.
This action supports the Commission’s value of “building partnerships and working collaboratively with others to meet shared objectives” and the goal of “delivering accessible human services that holistically address the whole person collaboratively and compassionately.” This Contract Renewal allows Broward County to continue to collaborate with FDOH to track and improve linkages to HIV-related medical care and treatment for individuals living with HIV in Broward County.
Approval of Contract Renewal No. 1 (Exhibit 1) to Agreement No. DC117 allows FDOH and Broward County to continue to share the client care data each quarter for the purpose of tracking and improving linkages and referrals to HIV-related medical care and treatment for individuals living with HIV in Broward County. Contract Renewal No. 1 has been reviewed and approved for legal sufficiency by the County Attorney’s Office prior to execution. Contract Renewal No. 1 is in FDOH’s format; thus, FDOH will sign last.
On October 25, 2022 (Item No. 12), the Commission authorized the County Administrator to execute an Agreement between Broward County and FDOH, effective upon the date of full execution and ending three years after said date, to track and improve linkages to HIV-related medical care and treatment for individuals living with HIV in Broward County, Agreement No. DC117 (Exhibit 2). Agreement No. DC117 will terminate on November 24, 2025 unless renewed.
Approval of this item would give rise to certain employment conflicts under Section 112.313(7)(a), Florida Statutes, which provides that "no public officer... shall have or hold any employment or contractual relationship with any business entity... which is... doing business with an agency of which he or she is an officer or employee." In accordance with 112.313(12), Florida Statutes, Commission approval is required to waive any conflict of interest arising under Section 112.313(7)(a), Florida Statutes. An effective waiver requires two-thirds vote of the Commission after disclosure of the conflicting relationship (Motion B) in accordance with Section 112.313(12), Florida Statutes. Forms 4A, Disclosure of Business Transaction, Relationship, or Interest, are attached to this report as Exhibit 3 and constitute full disclosure of any existing conflicts.
