B. MOTION TO AUTHORIZE Director of Purchasing to negotiate and execute a replacement Computer Based Learning Software Agreement, in the estimated amount of $2,375,000 for a term of up to five years, including any renewal options, authorizing the Director of Purchasing to exercise any renewal options provided, subject to review of each agreement for legal sufficiency by the Office of the County Attorney.

Why Action is Necessary
MOTION A: In accordance with Broward County Procurement Cod Section 21.25, Sole Source Procurement, Board approval is required for awards exceeding the authority of the Director of Purchasing.
MOTION B: In accordance with Broward County Procurement Code Section 21.47(a), Award and Execution Authority, the Board shall make all awards, and authorize the execution of the associated contract, greater than $500,000.

Summary Explanation/Background
THE PURCHASING DIVISION AND THE FINANCE AND ADMINISTRATIVE SERVICES DEPARTMENT/HUMAN RESOURCES DIVISION RECOMMEND APPROVAL OF THE ABOVE MOTIONS.
This action supports the Board’s Accountable Government Goal, “Consistently delivering responsive, efficient, inclusive, and equitable quality services to the public and internal customers while providing a safe community to live, work and visit.”
The purpose of this item is to continue with the County’s existing electronic computer-based learning platform, Percipio, from Skillsoft (US) Corporation (Skillsoft).
Skillsoft originally resulted from Request for Proposals No. R0948502P1, for Computer Based Learning, approved by the Director of Purchasing on November 17, 2011. The Director of Purchasing subsequently approved the First and Second Amendments to the Agreement. The First Amendment, dated December 6, 2012, added videos at no cost to the County; the Second Amendment, dated July 1, 2013, added licensing and hosting services. On November 15, 2016 (Item No. 15), the Board approved the Third Amendment, which extended the term for an additional five years. On September 12, 2020, the Director of Purchasing approved the Fourth Amendment allowing the County to upgrade to the new Percipio platform. And on December 10, 2021, the Director of Purchasing approved Fifth Amendment which further modified the Skillsoft products licensed under the Agreement.
The current spend under the original Skillsoft Agreement is $965,627.
Over the term of the Agreement, the County has integrated Percipio content into the County’s training programs, leadership programs, learning paths, and employee development resources. The Human Resources Division is currently mapping the County’s values and core competencies to related learning content, thus further embedding Percipio in the County’s human resources processes.
The replacement contract will allow the County to migrate to an enterprise level license and will permit all employees access for mandatory training such as safety, compliance, cyber-security, and employment policies. Replacing the Percipio platform would be costly to migrate data, re-develop and re-train around a new e-learning services platform.
On November 7, 2023, the Purchasing Division issued a Request for Information (RFI) to ascertain whether there were any other entities able to provide a similar Learning Management System. The RFI was advertised for five days per Section 21.25(b) of the Procurement Code. There were no responses to the RFI during this period. Based on this information, the Director of Purchasing recommends approval of this sole source, sole brand designation (Exhibit 1).
The effective date of the replacement contract will be the date of final execution. The period of performance will begin on December 1, 2023.
