A. MOTION TO REAFFIRM AND MODIFY sole source standardization of Johnson Controls, Inc., now known as Johnson Controls Building Solutions, LLC, for Fire Alarm and Security Management System Maintenance of proprietary equipment and systems at currently covered Broward County buildings and to include all present and future Broward County buildings that have such equipment and systems installed.
B. MOTION TO APPROVE Third Amendment to the Agreement between Broward County and Johnson Controls Building Solutions, LLC, f/k/a Johnson Controls, Inc., for Fire Alarm and Security Management System Maintenance (BLD2123500A1_2, f/k/a BLD2123500A1_1), extending the term of the Agreement effective October 1, 2026, for an additional three years, with the option to further extend the term for up to two additional one-year renewal periods through September 30, 2031, and increasing the not-to-exceed amount, including optional services, by $14,373,117 for a new total not-to-exceed amount of $27,188,667.

Why Action is Necessary
A. In accordance with the Broward County Procurement Code, Section 21.19(a), the Board is required to approve all standardizations above the award authority of the Director of Purchasing.
B. Pursuant to Section 21.53(a) of the Procurement Code, unless otherwise provided by law or excepted therein, a County contract shall not exceed five (5) years in duration, inclusive of any renewals or extensions provided for in the contract, without the express approval of the Board.
What Action Accomplishes
A. Provides continuation of maintenance, repairs and component replacement from the only contractor capable of providing the proprietary services and equipment needed for these critical building systems and aligns the sole source reaffirmation with the next five-year Agreement.
B. Allows for the extension of the term of the Agreement, adds five (5) additional building locations, deletes one (1) building location and amends various other provisions to allow for continued support of Fire Alarm and Security Management System Maintenance at County buildings.

Summary Explanation/Background
THE PUBLIC WORKS AND ENVIRONMENTAL SERVICES DEPARTMENT AND THE FACILITIES MANAGEMENT DIVISION RECOMMEND APPROVAL OF THE ABOVE MOTIONS.
Johnson Controls, Inc. (“JCI”) has proprietary systems, components and software serving various Broward County (“County”) buildings and is the only vendor authorized to provide this service. This includes C. Cure 9000 security access and peripherals and integrated fire controls, fire alarms and related peripherals. All JCI technicians receive original equipment manufacturer factory training. All JCI equipment communicates and operates through centralized JCI database systems which allow for remote access and control by County personnel. This is essential for maintaining security and life safety.
On July 8, 2003, under Agenda Item No. 24, the Board approved the sole source standardization of JCI for maintenance, repair and replacement of JCI equipment and systems at the covered County buildings. This sole source standardization was re-affirmed on September 21, 2021, under Agenda Item No. 5. A Request for Information (“RFI”) to designate a Sole Source was advertised on June 23, 2026, and closed on July 1, 2026, with no responses. Based on RFI results, the Director of Purchasing recommends the sole source re-standardization of Johnson Controls, Inc. (now known as Johnson Controls Building Solutions, LLC) for repair, maintenance and replacement of JCI equipment and systems (Exhibit 1).
County and JCI entered into an Agreement for Fire Alarm and Security Management System Maintenance (BLD2123500A1_1) (the “Agreement”), for JCI to provide fire alarm and security system maintenance and establish pricing and preventative maintenance services for Covered Equipment (as defined in the Agreement), with a three-year initial term commencing on October 1, 2021, including two optional one-year renewal terms, an allowance for optional services and continuing through September 30, 2026, for a total not-to-exceed amount of $11,355,923.
On November 6, 2023, County and JCI executed the First Amendment to the Agreement, retroactive to October 1, 2023, which added seven (7) additional building locations and deleted one (1) building location, for a new total not-to-exceed amount of $11,848,383.
On December 23, 2024, County and JCI executed the Second Amendment, effective January 1, 2025, which added six (6) additional building locations and various other provisions, for a new total not-to-exceed amount of $12,815,550.
The Third Amendment extends the Agreement for an additional three (3) years, with the option to further extend the Agreement for up to two (2) optional one-year renewal periods. It adds five (5) additional building locations, deletes one (1) building location and increases the not-to-exceed amount, including optional services, by $14,373,117 for a new total not-to-exceed amount of $27,188,667 through September 30, 2031.
This Third Amendment is required pursuant to Section 21.53(a) of the Procurement Code as it extends the duration of the Agreement beyond five (5) years.
