Motion A. Board of County Commissioners’ approval is required to approve the Memorandum of Understanding between the County and FDOT.
Motion B. Board of County Commissioners' approval is required to convey real property owned by Broward County pursuant to Section 125.38, Florida Statutes, and Section 6.19(f) of the Broward County Administrative Code.

Motion A. Approves an MOU with FDOT regarding a series of coordinated real estate transactions involving the conveyance, lease, and use of certain County-owned and FDOT-owned properties to facilitate current and future transportation, infrastructure, and redevelopment projects.
Motion B. Approves the Property Transfer Agreement and authorizes the conveyance of certain County-owned real property to FDOT and authorizes the acceptance by the County of certain FDOT-owned real property for use in connection with the Broward County Convention Center.

Summary Explanation/Background
THE PUBLIC WORKS AND ENVIRONMENTAL SERVICES DEPARTMENT AND THE REAL PROPERTY AND REAL ESTATE DEVELOPMENT DIVISION RECOMMEND APPROVAL OF THE ABOVE MOTIONS.
The item is consistent with the County Commission Goal of “cooperatively delivering an efficient and accessible regional intermodal transportation network.”
The proposed MOU (MOTION A) establishes a framework for coordinated real estate transactions between County and the FDOT to support transportation, infrastructure, and redevelopment projects. The MOU contemplates three transaction segments:
Segment #1 provides for the exchange of County-owned property at 4701 NW 33rd Avenue, Oakland Park, Florida (Folio No. 4942-1820-0513) for FDOT-owned property adjacent to the Broward County Convention Center and right-of-way property along Grande Drive. The exchange will be implemented through the Property Transfer Agreement (“PTA”).
Segment #2 contemplates a separate 99-year public-purpose lease of the northern portion of FDOT-owned property at 2900 Sheridan Street, Hollywood, Florida (Folio No. 5142-0927-0010) for County Transit purposes, without fair-market-value rent and subject to applicable approvals, including Federal Highway Administration (“FHWA”) approval.
Segment #3 provides for FDOT’s development of the southern portion of the Sheridan Street property as a Transit Oriented Development (“TOD”), including affordable housing. The County will have participation and consent rights related to the development, will share equally in revenues received from the TOD project, and will have a first opportunity to lease or acquire the property if FDOT elects to dispose of it.
The MOU also provides for coordination of stormwater management associated with the Sheridan Street property and the I-95 Widening Project No. 439170.1.
The proposed Resolution (MOTION B) approves the PTA and authorizes the conveyance of the County Property to FDOT and acceptance of the Convention Center Property and Grande Drive Property by the County. The conveyances will occur simultaneously by quitclaim deeds. The PTA also provides for a contingent payment to the County if the contemplated Sheridan Street Park-and-Ride Transaction is not consummated by September 22, 2029.
Although the MOU is generally nonbinding, the PTA incorporates certain Segment #3 provisions as binding and enforceable obligations of the parties.
The proposed 99-year Sheridan Street lease will be negotiated separately and presented to the Board for consideration under a future Agenda Item.
The Memorandum of Understanding, Resolution, and Property Transfer Agreement have been reviewed and approved as to form and legal sufficiency by the Office of the County Attorney.

Fiscal Impact/Cost Summary
There is no fiscal impact from this Agenda Item because no monetary consideration is payable by either party at closing. The PTA provides for a potential contingent payment to the County under the circumstances specified therein. A future lease agreement contemplated by the MOU may have a fiscal impact on the County, the amount of which is undetermined.
