Summary Explanation/Background
THE PORT EVERGLADES DEPARTMENT RECOMMENDS APPROVAL.
This action supports the Broward County Board of County Commissioners (“Board”) Value of “Building partnerships and working collaboratively with others to meet shared objectives” and the Goal of “Ensuring economic opportunities and a sustainable economy, with an emphasis on Broward’s lower and middle class.”
On March 5, 2019 (Item No. 36), the Board approved an agreement with Oracle Elevator Company (which later merged into the surviving corporation, Oracle Elevator Holdco, Inc.) (“Oracle”) for the maintenance and repair of elevators and escalators within Port Everglades (“the Agreement”). The Agreement provided for an initial two-year term, commencing February 1, 2019, and three one-year renewal options. A First Amendment to the Agreement was approved by the Director of Purchasing on March 26, 2020, which added preventative maintenance services for equipment at Port Everglades Cruise Terminal No. 25 to the scope of work. A Second Amendment to the Agreement was approved by the Director of Purchasing on November 24, 2020, which added modernization projects for three elevator systems to the scope of work (as amended, the “Agreement”). A Third Amendment to the Agreement, which added preventative maintenance services for equipment at the Heron Parking Garage (adjacent to Cruise Terminal Nos. 2 and 4) was approved by the Board on April 5, 2022 (Item No. 40). A Fourth Amendment to the Agreement, which added preventative maintenance services for new equipment in the Switchgear Building (Southport Crane Shop) and removed services for a unit that was no longer in use, was approved by the Director of Purchasing on August 16, 2022. All renewal options have been exercised by the Director of Purchasing, and the Agreement is set to expire on January 31, 2024.
The Port is currently working with the Purchasing Division on a new solicitation for the services currently covered under the Agreement. The Fifth Amendment, if approved, would extend the term of the Agreement by six months beyond the original five years through July 31, 2024, to allow the Port and Purchasing Division staff to conduct the solicitation and enter into a new Agreement without a gap in services.
The Fifth Amendment, if approved, would increase the total not-to-exceed amount of the Agreement by $566,245, representing $471,245 in total maintenance charges ($46,635 per month, plus an estimated $191,435 for non-covered services over the Extension Term) and $95,000 in Pass-thru allowance, bringing the total not-to-exceed amount of the Agreement from $6,211,225 to $6,777,470.
The Fifth Amendment has been reviewed and approved as to form by the Office of the County Attorney.
