Why Action is Necessary

Broward County Board of County Commissioners (“Board”) approval is required for the execution of the Fifth Amendment to the Agreement between Broward County (“County”) and SP Plus Curbside Management Joint Venture (“SP Plus”), for Ground Transportation Management Services (“Agreement”) at Fort Lauderdale-Hollywood International Airport (“FLL”).

Summary Explanation/Background

THE AVIATION DEPARTMENT RECOMMENDS APPROVAL OF THE ABOVE MOTION.

 

This action approves the Fifth Amendment to the Agreement between County and SP Plus to extend the term on a month-to-month basis not to exceed one year.

 

On March 5, 2019 (Item No. 2), the Board approved the Agreement with SP Plus for the management of the Ground Transportation Program at FLL for an initial five-year term, commencing on May 1, 2019.

 

On December 7, 2022, County and SP Plus entered into the First Amendment to the Agreement which, among other things, required SP Plus to vacate and surrender certain FLL property occupied at that time and separately sublease a portion of County-leased property at no additional cost to County.

 

On December 26, 2023, County and SP Plus entered into the Second Amendment to the Agreement which, among other things, adjusted the amounts payable to SP Plus as a result of changes to the Broward County Living Wage Ordinance.

 

On April 16, 2024 (Item No. 61), the Board approved the Third Amendment to the Agreement which, among other things, extended the term of the Agreement for one year (i.e., from May 1, 2024, through April 30, 2025), authorized the Director of Aviation to renew the Agreement for an additional one year optional term through April 30, 2026, and increased the compensation and reimbursable costs.

 

On May 22, 2025, County and SP Plus entered into the Fourth Amendment which, among other things, removed the annual not to exceed compensation limitations and utilized an Agreement aggregate instead.

 

The proposed Fifth Amendment will extend the term of the Agreement on a month-to-month basis, not to exceed one year, (i.e. May 1, 2026 through April 30, 2027) while a procurement for a new agreement is underway. The Fifth Amendment will also increase the compensation to an estimated amount of $6,153,189 for the one-year extension term, increase the reimbursable costs in the amount of $967,003 for the one-year extension term, and update certain terms and conditions in the Agreement.

 

The obligations in the Agreement to comply with the Living Wage Ordinance will continue throughout the extension period.

 

The proposed Fifth Amendment has been reviewed and approved as to form by the Office of the County Attorney.
