Summary Explanation/Background
THE PARKS AND RECREATION DIVISION RECOMMENDS APPROVAL OF THE ABOVE MOTION.
On June 12, 2018 (Item No. 43), the Board of County Commissioners (the “Board”) approved the License and Concession Agreement between Broward County and U.S. Soccer 5, LLC (“Soccer 5”) for Mini-Soccer Fields and Food and Beverages Concessions at Brian Piccolo and Tradewinds Parks. The agreement has since been amended three times, by the Board on October 6, 2020 (Item No. 39), and May 18, 2021 (Item No. 32), and by the Director of Purchasing on August 8, 2023. The agreement, together with all amendments, is referred to herein as the “Agreement.”
Pursuant to Article 24 of the Agreement, Soccer 5 is required to seek advance approval from the Board for any change in the majority ownership of Soccer 5, with the Board having the right to approve or reject any new majority owner on any reasonable grounds.
The current owners of Soccer 5 are Scott and Alan Georgeson through their companies, Indominus Rex LLC and 26 Anchor. Soccer 5 has requested Board approval to transfer 70% of the total ownership in Soccer 5 to another entity, Wonder Franchises LLC, a capital investment holding company. Scott and Alan Georgeson would maintain a minority interest in Soccer 5 through their companies and would remain in their current management positions.
The Parks and Recreation Division considers Soccer 5 to be an excellent concessionaire for the County, including noting that Soccer 5 continued to pay all amounts owed during the COVID-19 public health emergency. The Parks and Recreation Division has engaged in detailed discussion with Soccer 5’s management team and expects the mutually beneficial relationship to continue through the remainder of the Agreement, regardless of the ownership entity.
If the Board approves the change in ownership of Soccer 5, the Agreement will remain in full force and effect, with no modification to the County’s rights, including termination rights.
The Office of the County Attorney conducted a litigation history search of the new majority ownership entity, Wonder Franchises, LLC, and did not find any history of litigation with the County.
