Why Action is Necessary
In accordance with Section 21.31.a.4 and 21.43 of the Broward County Procurement Code, all awards greater than the award authority of the Director of Purchasing and contracts for supplies or services of more than five years require Board approval.
What Action Accomplishes
Provides continuation of licensing and support for ten additional years and authorizes additional monies for Optional Services.

Summary Explanation/Background
THE PORT EVERGLADES DEPARTMENT RECOMMENDS APPROVAL.
On September 11, 2007 (Item No. 35), the Broward County Board of County Commissioners’ (“Board”) approved a Systems and Services Agreement and a Software License Agreement with Klein Systems Group, Ltd. for the procurement, installation, implementation, and training for an integrated Harbormaster and Revenue Management system, KleinPort Management Information System (“Kleinport MIS”), and associated maintenance and support at Port Everglades.
Based upon workflow needs, the Agreements were amended on July 15, 2009, by the Director of Purchasing as authorized by the Board on September 11, 2007 (Item No. 35), to purchase additional enhancements allowable under the approved Agreement.
To accommodate changes in technology and user needs, the Agreements were again amended by the Board on January 31, 2012 (Item No. 19), to authorize the Director of Purchasing to negotiate Agreements and/or Work Authorizations up to $775,000 for additional services. Of this amount, $275,000 was authorized to evaluate and purchase updates to the older version of the KleinPort MIS then in use to permit access to enhancements and efficiencies in existence with the then current standard commercially available software product, and $500,000 was authorized for Optional Services over the term of the Agreement for new purchases of software modules and upgrades.
Based on these amendments, a Migration Feasibility Study (“MFS”) was conducted by the vendor in collaboration with Port user groups to determine which system features and functionality would be required by end-users. The MFS concluded that the best approach would be to migrate to the commercially available standard KleinPort MIS product with options to include various levels of enhancements. The MFS was accepted by the Port and Enterprise Technology Services in April of 2014.
On June 2, 2015 (Item No. 35), the Board approved the Third Amendment to the Systems and Services Agreement and the Software License Agreement with Klein Systems Group, Ltd. for services required for the migration to the vendor’s standard product and extending the maintenance an additional one-year with renewal terms through 2025.
On June 12, 2015, Klein Systems Group Ltd. changed its name to Saab Technologies Ltd., and on May 31, 2023, Saab Technologies Ltd. divested their Port Management Information Systems to a new owner, Agilitas, who renamed the brand to Tidalis Americas Ltd.
The Technology Products Agreement (Exhibit 1) with Tidalis Americas Ltd. Incorporates and supersedes the previous Systems and Services Agreement and Software License Agreement and will allow for extending the maintenance for additional one-year renewal terms through 2035. The Agreement has been reviewed and approved as to form by the Office of the County Attorney.

The total cost of the Agreement for the potential ten-year term if all renewals are exercised is a maximum not-to-exceed $2,110,000, which includes $50,000 for Optional Services and $2,060,000 for software maintenance and support costs in connection with this agreement. Of the $2,060,000 for software maintenance and support, increases in the $161,000 support and maintenance fees after the initial one-year term are limited to the lesser of the CPI or 3% for each renewal year, and $1,899,000 represents the maximum cost if all nine-year renewals are exercised. Funding is included in the Port’s Operating Budget.
