Why Action is Necessary
In accordance with Broward County Procurement Code Section 21.47, Award and Execution Authority, the Board shall make all awards, and authorize the execution of the associated contracts, with a value of more than $500,000, inclusive of the value of any renewals or extensions; and Section 21.53, Duration of Contracts, the Board is required to approve all contracts for supplies or services of more than five years.

Summary Explanation/Background
THE PURCHASING DIVISION AND THE OFFICE OF REGIONAL COMMUNICATIONS AND TECHNOLOGY RECOMMEND APPROVAL OF THE ABOVE MOTION.
On December 10, 2024 (Item No. 53), the Board approved the most reasonable source designation of Niche Technology Inc. for the NicheRMS365 Law Records Management software. The reasonable source designation was recommended by the Broward County Chiefs of Police Association. The agenda item included a scrivener’s error; the entity providing the system is Niche Technology USA Limited (NICHE) (NICHE’s United States office) instead of Niche Technology, Inc. (NICHE’s the Canadian office).
The Agreement provides the NICHE365 Law Records Management System (LRMS), a software that provides a centralized repository for data, utilized by law enforcement agencies, for critical incident information. Additionally, the system provides legally mandated, standardized reporting to the National Incident-Based Reporting System and the Florida Incident-Based Reporting System. The LRMS will also interface with the National Crime Information Center, the Florida Crime Information Center, and Broward County’s Computer Aided Dispatch system (Exhibit 1).
Fourteen negotiation meetings were held to negotiate the Agreement with NICHE: March 13, March 19, March 21, March 31, April 1, April 3, April 17, April 24, May 6, May 14, May 15, May 22, May 28, and May 30, 2025. These meetings were attended by representatives from NICHE, ORCAT, and the County Attorney’s Office.
The Agreement has been approved as to form and legal sufficiency by the County Attorney’s Office. The Agreement is subject to the following disclosure: NICHE’S liability for indemnification claims is limited to $10,000,000 per year and $20,000,000, in the aggregate, for the duration of the Agreement.
The County will be responsible for the initial implementation costs and initial software license fees for eight Broward County law enforcement agencies. One year after the Final Acceptance date, these eight agencies will be responsible for support and maintenance fees. ORCAT may add eleven Broward County law enforcement agencies that were not included in the initial implementation at no additional costs. However, these eleven agencies will be responsible for their respective agencies’ software licensing fees and/or support and maintenance fees.
Incumbent: Central Square Technologies, LLC; Contract Number and Title: A1149202A1, Law Records Management System; Contract Term: June 12, 2013 through September 30, 2026. Expenditures to date: $677,716.
The Agreement term begins on the date of award and terminates five years from that date, in a maximum not-to-exceed amount of $4,097,500, which includes $3,000,000 for software license fees, $515,000 for integration and implementation services, $370,000 for training and configuration services, and $212,500 for interface support and maintenance. Additionally, the Agreement provides for up to an additional five one-year extensions, for a ten-year total maximum not-to-exceed amount of $5,310,000, which includes $1,000,000 for optional services for the duration of the Agreement.
