Summary Explanation/Background

THE AVIATION DEPARTMENT RECOMMENDS APPROVAL OF THE ABOVE MOTION.

This action approves the Eighth Amendment to the Agreement between the County and Keolis.

On March 28, 2019 (Item No. 2), the Board approved the Agreement for an initial five-year term from June 12, 2019, through June 11, 2024. The Agreement has been amended seven times.

The Seventh Amendment to the Agreement dated May 21, 2024, extended the term of the Agreement by one year from June 12, 2024, through June 11, 2025.

This proposed Eighth Amendment will, among other things, extend the term of the Agreement by one year from June 12, 2025, through June 11, 2026, and adjust the rates and not-to-exceed amounts associated with the extension.

The adjusted monthly fixed fee for the extension year will increase from $192,000 to $222,716. The total annual fixed fee for the extension year is in the amount of $2,672,592. The not-to-exceed amount for In-Service Hourly Fee decreased by $2,672,592. As a result of the net zero amount from the extension, there is no increase to the total not-to-exceed amount of the Agreement.

The proposed Eighth Amendment has been reviewed and approved by the Office of the County Attorney.
