Why Action is Necessary
In accordance with the Broward County Procurement Code, Section 21.47, Broward County Board of County Commissioners approval is required for amendments to agreements that exceed the authority of the Director of Purchasing.
What Action Accomplishes
Extends the existing Agreement on a month-to-month basis (for up to one year) while the procurement process for a new agreement is completed.

Summary Explanation/Background
THE PUBLIC WORKS AND ENVIRONMENTAL SERVICES DEPARTMENT AND THE FACILITIES MANAGEMENT DIVISION RECOMMEND APPROVAL OF THE ABOVE MOTION.
The Office of Economic and Small Business Development (“OESBD”) established a County Business Enterprise (“CBE”) participation goal of 25% for this Agreement. OESBD has confirmed the reported CBE participation of 24.39% based on information provided by SP Plus LLC (“SP Plus”) (Exhibit 2). SP Plus stated that additional CBE opportunities will be made available during the extended term to address the difference in participation percentage to goal percentage.
The Agreement provides parking management services for Facilities Management Division (FMD) parking facilities, which includes two paid public garages and two employee-only parking garage facilities. Services include all required personnel and staff to facilitate customer service, revenue collection, equipment maintenance, custodial cleaning, inspections, routine maintenance and minor repairs.
On December 1, 2020 (Item No. 31), the Board approved an Agreement No. PNC2116816P1, between Broward County and SP Plus for Parking Management Services for Facilities Management Division, Group 1 (the “Agreement”), for an initial three-year term with a maximum not-to-exceed amount of $5,899,064, which included all reimbursable expenses and fixed management fees (Exhibit 3). The Agreement authorized the Director of Purchasing to renew the Agreement for two additional one-year renewal terms, for a total of five years and a maximum potential estimated amount of $9,831,773.
The Agreement’s amounts are based on not-to-exceed reimbursable expenses and annual management fees. The reimbursable expenses are for items such as payroll, supplies, uniforms, temporary signage, cleaning services and police security services on busy nights and weekends. There is also a nominal contingency for unforeseen conditions and emergency situations. Reimbursable expenses are paid only after incurred and approved by FMD’s Contract Administrator.
On February 12, 2025, SP Plus Corporation merged with Metropolis Technologies, Inc. and a name change was filed with the State of Florida, changing the name from SP Plus Corporation to SP Plus LLC.
The proposed First Amendment (“Amendment”) to the Agreement extends the Agreement for twelve months on a month-to-month basis through November 30, 2026, in the not-to-exceed amount of $1,563,817 (Exhibit 1) and provides for a new total maximum not-to-exceed contract amount of $7,462,881.
The amounts referenced in this agenda item were rounded to the nearest whole dollar. Vendor payments will be based on the actual total bid amount. The bid tabulation reflects the actual amount of the award.
The First Amendment has been reviewed and approved for legal sufficiency by the Office of the County Attorney.
