B. MOTION TO APPROVE Agreement between Broward County and Miami Rescue Mission, Inc., d/b/a Broward Outreach Center, in the amount of $160,000, effective upon execution through September 30, 2025, with two one-year renewal periods in the amount of $394,000 annually, to provide temporary or transitional places to sleep for individuals and families experiencing homelessness in Broward County; authorize the Mayor and Clerk to execute same; and authorize the County Administrator to take all necessary administrative and budgetary actions to implement the Agreement.
C. MOTION TO APPROVE waiver of conflict under Section 112.313(7)(a), Florida Statutes, for the following Broward County advisory board member holding an employment or contractual relationship with an entity receiving funds for the performance of services under this agenda item: Keith R. Cavanaugh.

Why Action is Necessary
A. Service provider agreements resulting from single source determinations must be approved by the Broward County Board of County Commissioners (“Commission”) in accordance with Section 23.2.d, Broward County Administrative Code.
B. Commission approval is required for agreements with external agencies.
C. A waiver of conflict arising under Section 112.313(7)(a), Florida Statutes, requires two-thirds approval by the Commission.
What Action Accomplishes
Approval of Motions A and B provides temporary or transitional places to sleep for individuals experiencing homelessness in Broward County.
Approval of Motion C waives the existence of any conflicts arising under Section 112.313(7)(a), Florida Statutes, as authorized under applicable law.

Summary Explanation/Background
THE HUMAN SERVICES DEPARTMENT AND THE HOUSING OPTIONS, SOLUTIONS, AND SUPPORTS DIVISION (“HOSS-D”) RECOMMEND APPROVAL OF THE ABOVE MOTIONS.
These actions support the Commission’s value of “building partnerships and working collaboratively with others to meet shared objectives” and the goal of “delivering accessible human services that holistically address the whole person collaboratively and compassionately.” Miami Rescue Mission, Inc., d/b/a Broward Outreach Center (“MRM”) will provide temporary or transitional places to sleep for individuals and families experiencing homelessness in Broward County.
MRM is the sole provider of non-profit, low-demand emergency shelter beds in the City of Hollywood, Florida. On April 24, 2025, the Director of the Broward County Purchasing Division approved a single source determination for MRM as the only provider of non-profit, low-demand emergency shelter beds in the City of Hollywood (Exhibit 1). The Human Services Department is seeking Commission approval of the MRM single source determination and a new Agreement with MRM effective upon execution through September 30, 2025, with two one-year renewal periods (Exhibit 2). HOSS-D has received a letter of support from the Homeless Continuum of Care Board supporting its recommendation (Exhibit 3).
The Agreement with MRM has been prepared on the standard form agreement approved by the Commission on September 5, 2024 (Item No. 7) and has been reviewed and approved as to form by the County Attorney’s Office.
Approval of this item would give rise to certain employment conflicts under Section 112.313(7)(a), Florida Statutes, which provides that “no public officer… shall have or hold any employment or contractual relationship with any business entity… which is… doing business with an agency of which he or she is an officer or employee.” In accordance with Section 112.313(12), Florida Statutes, Commission approval is required to waive any conflict of interest arising under Section 112.313(7)(a), Florida Statutes. An effective waiver requires two-thirds vote of the Commission after disclosure of the conflicting relationship (Motion C) in accordance with Section 112.313(12), Florida Statutes. Form 4A, Disclosure of Business Transaction, Relationship, or Interest, is attached as Exhibit 4 and constitutes full disclosure of any existing conflicts.
