MOTION TO APPROVE Third Amendment to Master Agreement Between Esri and Broward County for continued licensing and related services for Esri’s Geographic Information System software, to extend the term of the Master Agreement, including the License Agreement, Enterprise License Agreement, Enterprise Advantage Program, and Professional Services Agreement, through October 31, 2030, and to increase the not-to-exceed amount by $7,750,000 (from $16,775,000 to $24,525,000) expanding general GIS user capacity and services, including emergency management operations, and Port, Aviation, and Water and Wastewater operations; and authorize the Mayor and Clerk to execute same.

Why Action is Necessary
Broward County Procurement Code, Section 21.53, requires all contracts exceeding five years must be approved by the Board. Section 21.47 requires contracts/amendments over $500,000 to be approved by the Board.

Summary Explanation/Background
THE RESLIENT ENVIRONMENTAL DEPARTMENT, THE URBAN PLANNING DIVISION, THE FINANCE AND ADMINISTRATIVE SERVICES DEPARTMENT, THE PURCHASING DIVISION, AND ENTERPRISE TECHNOLOGY SERVICES DIVISION RECOMMEND APPROVAL OF THE ABOVE MOTION.
This item supports the Board's goal of: “Consistently delivering responsive, efficient, inclusive, and equitable quality services to the public and internal customers while providing a safe community to live, work and visit,” both directly and indirectly throughout the County’s agencies.
The Esri Enterprise Agreement provides a suite of Geographic Information Systems (GIS) software products that is critical to the daily business operations of most County agencies which use it to collect, model, analyze, depict, and share geospatial data. The suite also provides on-line services to residents and businesses such as, Find Your Commissioner, FEMA flood mapping tools, Vulnerable Population Registry, Demographics Hub, and Citizens Data Portal. Internally, these software products support a wide range of public services including emergency management tools, election day precinct information, environmental modelling, berthing at Port Everglades, the annual homeless point in time count, routing for mosquito control, code enforcement, environmental permitting, zoning, and transportation planning. This Agreement permits Broward County to acquire needed licensing to meet the growing demands for spatial technology.
The Third Amendment expands the number of users, services, and tools available to county agencies for five years (Exhibit 2). Specifically, it extends GIS services and operational capability for Emergency Management, Public Works and Port Everglades. It expands GIS services such as indoor/facility mapping for Aviation, Mobility Advancement Program (MAP), Transportation, and Public Works (Exhibit 2, Appendix A-2). The updated Agreement includes capacity to create and manage utility networks, airport wayfinding, space management, dashboards, and tools for crowdsourcing data which may be used after a hurricane event.
The original contract with Esri was approved by the Board on August 11, 2015 (Item No. 36), for five years (three years plus option to renew for two years) for $3,788,000. On May 5, 2020 (Item No. 20), the Board approved the First Amendment which extended the contract by two months for $337,000. On May 19, 2020 (Item No. 23), the Board approved the Second Amendment, which extended the contract by five years through October 31, 2025, for $7,500,000. These amendments, together with Esri’s maintenance charge, brought the contract’s not to exceed amount to $16,775,000. On March 7, 2024 (Item No. 28), the Board approved sole brand, sole source standardization of Esri, to provide an ArcGIS Suite of GIS Software, licensed application software products, subscription services, associated professional services and maintenance support including new releases and upgrades for the enterprise-wide GIS. Broward County achieves significant savings by extending the Enterprise License Agreement (ELA). Under the Third Amendment, ELA services for 2025-2030 cost $9,900,000.
The Third Amendment increases the overall contract by $7,750,000 over five years or $1,550,000 annually. This will be funded through a combination of the General Fund and enterprise funds (Aviation, MAP, Port, Water and Wastewater Services, Solid Waste). Cost allocations between funds will be based on the number of servers, web-based applications, desktop licenses, and desktop extensions used by each agency.
There are no new disclosures as a result of this Third Amendment.
A sunshine noticed meeting to negotiate the Agreement between the County and Esri was held on March 19, 2025. This agreement has been reviewed and approved as to form by the Office of the County Attorney.

Fiscal Impact/Cost Summary
The funding for ELA Extension Term 3 for Esri services ($9,900,000 over a five-year period) is budgeted in the General Fund through a combination of support from Enterprise Funds, including Aviation, MAP, Transportation, Public Works, Water and Wastewater, Port Everglades and Solid Waste, per an agreed upon cost allocation methodology based on an estimated number of servers, web-based applications, desktop licenses, and desktop extensions used per agency. This methodology will be revised after year one, to correspond with actual usage data. This is a multi-year project where funding will be budgeted over several fiscal years to support this project.
