Summary Explanation/Background
THE PARKS AND RECREATION DIVISION RECOMMENDS APPROVAL OF THE ABOVE MOTION.
On June 14, 2017 (Item No. 73), County and Worldwide entered into an agreement for the promotion and management of International Cricket Events and Major Cricket Events at the stadium at Central Broward Regional Park (the “Park”). This agreement has been amended three times, on March 5, 2019 (Item No. 38), on April 6, 2021 (Item No. 56), and on September 9, 2021 (Item No. 35) (the original agreement, together with all amendments, the “Agreement”).
In preparation of the International Cricket Council (“ICC”) Men’s T20 World Cup (“World Cup”), certain priorities of Worldwide’s operations have shifted. For example, Worldwide previously agreed to install new cameras at the Park as part of its Capital Improvement requirements. However, due to the ongoing construction at the stadium and the Park facility’s inability to structurally support the locations proposed, this improvement is no longer recommended. Instead, Worldwide has focused its improvements on the buildout of the referees’ room, a high priority item for the World Cup. The buildout of the referee room was intended to be completed during Contract Year 6, which ended in 2023, but will not actually be completed until Contract Year 7, ending in June 2024. The Board’s approval of this Fourth Amendment would approve the removal of the camera stands from Worldwide’s Capital Improvement schedule, along with the late performance of the completion of the referee room.
County and Worldwide have worked collaboratively on World Cup issues, including the issuance of a County Special Event permit to the ICC and their agent, T20. This Fourth Amendment affirmatively includes the World Cup as an exception to Worldwide’s exclusive rights to operate cricket events.
Additionally, Worldwide has taken on the responsibility of providing a pitch curator for the World Cup games. Under the current Agreement, Worldwide is eligible for up to $30,000 credit against their Annual Guarantee installment payments, broken into 12 equal credits, to offset the curator’s fee. The proposed Fourth Amendment would allow Worldwide to apply the full credit amount, up to the total amount actually paid for the pitch curator, against the next monthly Annual Guarantee installment due.
Finally, the proposed Fourth Amendment includes general updates to the standard County terms and conditions that have been implemented since the Agreement went into effect. If the proposed Fourth Amendment is approved, Worldwide will be eligible for the first of two automatic five-year renewals. These additional terms ensure that the Agreement has County-required provisions going into the first extension term.
To ensure Worldwide is in contractual compliance with their Concession-related Improvements outlined in Exhibit A of the Agreement, to modify the monthly curator credit, and to include the World Cup as an exception to Worldwide’s exclusive operating rights for cricket events, Parks and Recreation Division recommends the approval of the above motion.
