Why Action is Necessary
A. and B. Broward County Board of County Commissioners (“Commission”) approval is required for agreements with external agencies, and under Section 154.011, Florida Statutes, Broward County is required to participate in the funding of primary care services.
C. A waiver of conflict arising under Section 112.313(7)(a), Florida Statutes, requires two-thirds approval by the Commission.
What Action Accomplishes
Approval of Motions A and B provides for the continuation of necessary primary care services to qualified low-income persons.
Approval of Motion C waives the existence of any conflicts arising under Section 112.313(7)(a), Florida Statutes, as authorized under applicable law.

Summary Explanation/Background
These actions support the Commission’s value of “building partnerships and working collaboratively with others to meet shared objectives” and the goal of “delivering accessible human services that holistically address the whole person collaboratively and compassionately.” These funds support the provision of quality primary care medical services to qualified Broward County residents that would not otherwise be funded by any other public or private funding source.
Primary care medical services are acute care and preventive services made available to well and sick persons who are unable to obtain services due to lack of income or other barriers beyond their control. In October of 1993, Broward County transferred the delivery of primary care services for Broward County residents to its tax-assisted hospital districts. North Broward Hospital District d/b/a Broward Health (“Broward Health”) delivers primary care services throughout the northern region of Broward County, while South Broward Hospital District d/b/a Memorial Healthcare System (“Memorial”) delivers primary care services throughout the southern region of Broward County.
For Fiscal Year 2024, Broward County budgeted $8,495,420 for the delivery of primary care services throughout the northern region of the County. In addition to its financial contribution, Broward County provides Broward Health the use of two County-owned facilities (Exhibit 1, Attachment I). For Fiscal Year 2024, Broward County budgeted $4,987,957 for the delivery of primary care services throughout the southern region of the County and provides Memorial the use of one County-owned facility (Exhibit 2, Attachment I). During Fiscal Year 2023, both Broward Health and Memorial met all outcomes. Retroactive approval is requested due to extensive negotiations with both Broward Health and Memorial.
Approval of this item would give rise to certain employment conflicts under Section 112.313(7)(a), Florida Statutes, which provides that “no public officer... shall have or hold any employment or contractual relationship with any business entity... which is... doing business with an agency of which he or she is an officer or employee.” In accordance with 112.313(12), Florida Statutes, Commission approval is required to waive any conflict of interest arising under Section 112.313(7)(a), Florida Statutes. An effective waiver requires two-thirds vote of the Commission after disclosure of the conflicting relationship (Motion C) in accordance with Section 112.313(12), Florida Statutes. Form 4A, Disclosure of Business Transaction, Relationship, or Interest, is attached to this report as Exhibit 3 and constitutes full disclosure of any existing conflict.
