Why Action is Necessary

MOTION A. In accordance with Broward County Procurement Code Section 21.25(a), Sole Source Procurement, nonstandardized Sole Source procurements above the award authority of the Director of Purchasing must be approved by the Board.

 

MOTION B. In accordance with Broward County Procurement Code Section 21.47(a), Award and Execution Authority, the Board shall make all awards, and authorize the execution of the associated contracts, with a value of more than $500,000, inclusive of the value of any renewals or extensions provided for in the contract.

Summary Explanation/Background

THE PURCHASING DIVISION AND THE FINANCE AND ADMINISTRATIVE SERVICES DEPARTMENT/ENTERPRISE TECHNOLOGY SERVICES DIVISION RECOMMEND APPROVAL OF THE ABOVE MOTIONS.

 

This agreement provides Sitecore’s XM Cloud software-as-a-service. Sitecore XM Cloud is a digital experience platform (DXP) designed to efficiently create, build, manage, and deliver content and provide positive customer experiences.

 

Sitecore XM Cloud will replace Microsoft SharePoint 2019 (On Premise) as the platform used for Broward.org and BrowardEmployee.org. Microsoft SharePoint 2019 (On Premise) will no longer be supported for this use on July 14, 2026.

 

Microsoft SharePoint has been used for Broward.org since 2006. Currently utilizing Microsoft SharePoint 2019, the infrastructure is located ‘on-premises,’ managed and maintained by Enterprise Technology Services.

 

After July 14, 2026, Microsoft 2019, along with the accompanying design software, will not be supported by the manufacturer and will no longer be usable. This will prevent any changes from being implemented on Broward.org and create a large security vulnerability. SharePoint 2019 will be decommissioned but SharePoint Subscription Edition (SE) will still be necessary for core Microsoft functionality.

 

Sitecore XM Cloud is fully hosted and is provided as a software-as-a-service. All infrastructure is managed and maintained by Sitecore and is included in the licensing of the software.

 

Sitecore will allow for modern functionality and increased innovation including integration into other County software and Generative Artificial Intelligence (GenAI) to enforce County branding and increase automation.

 

While there are no direct cost savings by replacing SharePoint 2019 with Sitecore XM Cloud, the modern functionality will greatly enhance Broward County’s ability to effectively communicate with the citizens.

 

Sitecore XM Cloud is the only product reviewed that met all requirements of the Office of Public Communications, Enterprise Technology Services, and the known needs of agency website Authors around the County.

 

Two negotiation meetings were held to negotiate the Agreement with Sitecore: October 23 and October 28, 2025. These meetings were attended by representatives from Sitecore, Enterprise Technology Services, the Office of Public Communications, and the County Attorney’s Office.

 

The Agreement consists of the Master Subscription Terms and Conditions and two current orders forms. The Agreement utilizes the form SiteCore agreement rather than the County’s standard agreement, but generally includes the County standard terms with the following material exceptions: the County may not terminate for convenience within the first 36 months; no refunds are due if terminated for convenience; the County Administrator will use good faith efforts to include full funding for the two current orders in each year’s recommended budget; the County must indemnify SiteCore for claims arising County data or County breach of the usage policies; and the security standards and service level agreement are SiteCore’s terms, per its worldwide platform, rather than the terms utilized by Enterprise Technology Services.

The Agreement is for a potential 11-year term, allocated in the General Fund, and this item would approve a not-to-exceed maximum amount of $2,680,000 for the initial five-year period and a total aggregate not-to-exceed amount of $5,920,000 for the duration of the Agreement. The funds estimated for the current fiscal year are included in the current Fiscal Year budget.
