Extends the current agreement through September 30, 2021, on an automatic month-to-month basis to allow time for the solicitation of new Security Officer Services agreements for Port Everglades, Fort Lauderdale-Hollywood International Airport, and North Perry Airport; increases the maximum not-to-exceed amount of the Agreement by $10,000,000.

Summary Explanation/Background

THE PORT EVERGLADES DEPARTMENT AND BROWARD COUNTY AVIATION DEPARTMENT RECOMMEND APPROVAL.

 

This item supports the Broward County Board of County Commissioners' (“Board”) Value of "Ensuring economic opportunities for Broward’s diverse population and businesses" and Goal to "Increase the economic strength and impact of revenue-generating County enterprises balancing economic, environmental, and community needs.” 

On September 7, 2015 (Item No. 20), the Board approved the Agreement between Broward County and AlliedBarton Security Services LLC ("AlliedBarton") to provide non-sworn security officer services at Port Everglades, Fort Lauderdale-Hollywood International Airport, and North Perry Airport for a term commencing on October 1, 2015, and ending September 30, 2018, with the ability of the Director of Purchasing to renew the agreement for up to two additional one-year periods. The Agreement required AlliedBarton to comply with the Living Wage Ordinance and pay all its employees providing "covered services" a living wage as defined in the Living Wage Ordinance.

 

On October 27, 2016, AlliedBarton assigned its interest in the Agreement to Universal Protection Services, LLC, d/b/a Allied Universal Security Services ("AUSS"), and the County, through the Director of Purchasing, accepted the assignment on January 10, 2017.

 

On November 28, 2017 (Item No. 2), the Board approved a First Amendment to the Agreement  to increase the maximum not-to-exceed amount by $5,676,020, from $17,700,000 to $23,376,020, for the initial three-year term to provide for increases in the level of security officer services. As was noted in that agenda item, since the optional renewal periods had not been exercised, the First Amendment did not address additional funding for the optional renewal periods. The Director of Purchasing has exercised both of the two (2) one-year renewal options, extending the Agreement through September 30, 2020.

 

On June 4, 2019 (Item No. 13), the Board approved the Second Amendment to the Agreement increasing the combined two renewal years not-to-exceed amount from $12,180,000 to $24,513,000, for a five-year potential total not-to-exceed amount of $47,889,020.

 

The Agreement provides for an extension period not to exceed three months beyond the scheduled September 30, 2020, expiration date upon notification by the Director of Purchasing.  On August 27, 2020, the Director of Purchasing notified AUSS of its decision to extend the term for an additional three months through December 31, 2020. 

 

County staff have been preparing new, separate Requests For Proposals (“RFP”) solicitations for Security Services for Port Everglades and the Broward County Aviation Department respectively, however due to numerous delays, this process will require more time. 

 

The Third Amendment was negotiated on October 19, 2020, with representatives from the Port Everglades Department, Broward County Aviation Department, Office of the County Attorney, and AUSS.  The Third Amendment will extend the term of the current Agreement through September 30, 2021, on an automatic month-to-month basis unless earlier terminated at the sole discretion of the Director of Purchasing. In addition to the time extension, the Third Amendment will increase the hourly rates paid for AUSS Level 1 and Level 2 Unarmed Security Officers to incorporate the new living wage rate as well as the increase in the qualifying health benefit that enter into effect on January 1, 2021.  The living wage and health benefit increase is $1.99 per hour for the Level 1 Unarmed Security Officer position, which is a 10% increase.  The rates for Level 2 Unarmed Security Officer positions are increased to the same rates as Level 1 Unarmed Security Officers for equity purposes. This Amendment will also increase the current Agreement’s not-to-exceed amount by $10,000,000, from $47,889,020 to $57,889,020.

 

The Agreement with AUSS established a County Business Enterprise (“CBE”) goal of 15%.  AUSS's CBE participation is 18.89% as of November 17, 2020, through their CBE subcontractor Westmoreland Protection Agency, Inc., as verified by the Office of Economic and Small Business Development. (see Exhibit 3).

 

The Amendment has been reviewed and approved as to form by the Office of the County Attorney.  The receipt of signature pages from AUSS is pending, and the receipt will be noted in the Monday Night Memo prior to Board action.

Funding for security services and the living wage and health benefit increase for 2021 was anticipated and is included in the approved Fiscal Year 2021 Port Everglades Department and Aviation Department Operating Budgets.
