Why Action is Necessary

In accordance with the Broward County Procurement Code, Section 21.43, Board approval is required to extend the Agreement beyond five years.

Provides approval for the execution of the Third Amendment to the existing Software Maintenance Agreement, retroactively extending the term of the agreement for up to five additional one-year terms to provide for continued maintenance and support services to the SymPro Investment and Debt software.

Summary Explanation/Background

THE FINANCE AND ADMINISTRATIVE SERVICES DEPARTMENT RECOMMENDS APPROVAL OF THE ABOVE MOTION.

 

On September 10, 2003, Broward County (“County”) entered into a Software License and Service Agreement with SymPro, Inc. in which the County would be granted a non-exclusive perpetual license to use the SymPro proprietary computer software solution known as SymPro Treasury Management Software (“Investment Module”) as a database and analysis tool for management of the County’s Investment Portfolio.

 

On February 28, 2011, the County entered into a Software Maintenance Agreement on the Integrated System (“Maintenance Agreement”) to continue to provide the County with software maintenance services for the Investment Module.

 

On October 24, 2012, the County entered into a Systems and Services Agreement (“2012 Agreement”) to allow for the procurement of the Emphasys SymPro Enterprise Debt Management Solution Software Module License (“Debt Module”) as a database and analysis tool for the County’s Debt Portfolio. At the same time, the County entered into a First Amendment to the Maintenance Agreement to amend the yearly maintenance costs to include costs associated with the Debt Module. The 2012 Agreement is coterminous with any extension(s) to the Maintenance Agreement.

 

On August 3, 2015, the County entered into a Second Amendment to the Maintenance Agreement to extend the term an additional five years and to provide for the ability to acquire Optional Services through a Work Authorization form.

 

The term of the Maintenance Agreement originally commenced on March 1, 2011 and continued for recurring one-year periods each January 1, through December 31, 2015. The Second Amendment extended the automatic recurring one-year extension terms through December 31, 2020.

 

The County and SymPro now desire to enter into this Third Amendment to the Maintenance Agreement to retroactively extend the term for up to five additional automatic recurrent one-year extension terms and to increase the total amount of the Maintenance Agreement by $100,000 for a new not-to-exceed amount of $294,438.
