Why Action is Necessary

Motion A. In accordance with the Broward County Procurement Code, Section 21.25 Sole Source Procurement, Board approval is required for awards exceeding the Director of Purchasing's authority.

 

Motion B. In accordance with the Broward County Procurement Code, Section 21.47, Award Authority, Board approval is required for awards exceeding $500,000. In accordance with the Broward County Procurement Code, Section 21.53, the Board is required to approve all awards that extend for more than 5 years.

Summary Explanation/Background

THE AVIATION DEPARTMENT RECOMMENDS APPROVAL OF THE ABOVE MOTIONS.

 

On December 1, 2009 (Item No. 58, Motion B), the Board approved a License Agreement with Amadeus Airport IT Americas, Inc. (formerly Amadeus IT Group SA), pursuant to Broward County’s Request for Proposals No. 20070514-0-AV-01, which was competitively bid and included an Airport Information Management System (“AIMS”) and its support and maintenance.

 

On March 31, 2020, the Director of Purchasing approved the Sole Source Sole Brand justification for the support and maintenance of current and additional hardware, software, and related services for the expansion and maintenance of the AIMS to be fair and reasonable based on utilization of AIMS products and services at the Broward County Aviation Department (“BCAD”). AIMS is a proprietary system. There are no alternate vendors available to provide support and maintenance for these systems and changing to a different software application would be very disruptive and is not currently under consideration.

 

The AIMS is comprised of an Airport Operational Database (“AODB”), an Electronic Visual Information Display System (“EVIDS”), a Resource Management System (“RMS”), a Common Use System (“CUSS”), the Dynamic Assignment Passenger Processing System (“DAPP”), and the Virtual Ramp Control System (“VRCS”). AIMS is a collection of software solutions and associated support services specifically designed to provide the airport the most efficient operating environment. The AODB is the database containing all current and historical flight information and serves as the central database of record for the other components of the system. EVIDS is comprised of all of the flight information displays throughout the airport campus. RMS is the software tool used to manage gate assignment and common use resources. CUSS includes the common use hardware and kiosks at the airport, which provides operational flexibility for BCAD to maximize gate use and provides for biometrics support on the common use equipment. DAPP is the shared use software platform that gives the airlines the ability to use shared ticket counters and gates. VRCS is the software system that allows FLL ground controllers to monitor runway, taxiway, and apron activity.

 

Motion A

This action approves the Sole Source designation between the County and Amadeus Airport IT Americas, Inc. for support, maintenance, upgrades, and consulting services to the existing AIMS at FLL.

 

The AIMS system is comprised of proprietary hardware and software components that include an airport-wide deployment of flight information display monitors that supply real-time information from the AODB. This database allows the airport to store, update, retrieve, and integrate flight information; and disperse that real-time data into other integrated systems. This includes the CUSS, which allows the shared use of ticket counters and gates by multiple airlines, providing the airport flexibility in resource allocation. Additionally, the RMS interfaces with the AODB and allows airport gate scheduling using flight tracking and utilization data in order to support the efficient allocation of airport fixed resources.

 

Motion B

This action approves the Agreement between Broward County and Amadeus Airport IT Americas, Inc. to provide for support and maintenance of the AIMS system, as well as optional services, and permits the Director of Purchasing to issue work authorizations and purchase orders for related support and maintenance services up to the not-to-exceed amount of $3,000,000 for optional services.

 

The Agreement requires Amadeus Airport IT Americas, Inc. to provide support and maintenance services, including programming/configuration, project management, data conversion, training, documentation, and infrastructure support. The negotiated total value of the Agreement is a maximum not-to-exceed amount of $33,000,000, which includes support and maintenance not-to-exceed $15,000,000 for the initial 5-year term; a not-to-exceed total amount of $15,000,000 for five one-year renewal options ($3,000,000 annually), and a not-to-exceed amount of $3,000,000 in optional services and reimbursables over the term of the agreement.

 

The agreement includes some negotiated modifications to the County’s standard agreement provisions, including the warranty provisions, the scope of the vendor’s indemnification obligations, and the vendor’s service organization control reports.

 

The proposed Agreement has been reviewed and approved as to form by the County Attorney’s Office.
