Why Action is Necessary
Motion A. In accordance with the Broward County Procurement Code, Section 21.47.a, Award Authority, Board approval is required for awards exceeding $500,000.
Motion B. In accordance with the Broward County Procurement Code, Section 21.53.a, the Board is required to approve all awards that extend for more than five years.

Summary Explanation/Background
THE AVIATION DEPARTMENT RECOMMENDS APPROVAL OF THE ABOVE MOTIONS.
On June 13, 2017 (Item No. 50), the Board approved the agreement between Broward County and PASSUR Aerospace, Inc., for Data Subscription Services, including software as a service (“SaaS”), surface optimization, support, maintenance and optional services, in the total not-to-exceed amount of $3,400,000.
PASSUR is the sole provider of PASSUR Data Subscription Services. The Broward County Aviation Department (“BCAD”) uses the PASSUR software subscription services for inbound and outbound aircraft flight information. BCAD has added software modules and expanded the services over several years to reflect the current airport environment.
The modules include the PASSUR Communicator Landing Fee Audit Module, Landing Fee Billing Module, Class II Noise Feed, ETA Feed, Surface Optimization and Gate Sequencing, and Webtracker/Ariva Global Flight Tracking. These services are vital for the function of the radar system for flight tracker identification with aircraft situational displays.
On July 23, 2021, Request for Information (“RFI”) No. TEC2123393F1 was issued to determine if other vendors were able to provide the requested services. The RFI closed on July 30, 2021, with zero responses submitted. There were 11 views and no vendor questions were asked. No other responses were received. On August 10, 2021, the Director of Purchasing recommended the approval of PASSUR as the Most Reasonable Source for PASSUR Data Subscription Services, including the following modules: Landing Fee Management Billing Module, Landing Fee Management Audit Module, Communicator Integrated Traffic Management (PITM), Web Tracker/Ariva Global Flight Tracking, RightETA Feed, Class II Noise Feed, and Surface Sequencing Optimization Program.
Motion A
This action designates PASSUR, as the Most Reasonable Source to provide Data Subscription Services, including SaaS, support, maintenance, and optional services at FLL.
BCAD utilizes the existing agreement for PASSUR software subscription services for inbound and outbound aircraft flight information. The current PASSUR Data Subscription Services include - Landing Fee Management Billing Module, Landing Fee Management Audit Module, Communicator Integrated Traffic Management (PITM), Web Tracker/Ariva Global Flight Tracking, ETA Feed, Class II Noise Feed, and Surface Sequencing Optimization Program. These software subscription services are proprietary software applications engineered, developed, distributed, and maintained exclusively by PASSUR and technical support and maintenance services are solely performed by PASSUR staff.
Motion B
This action approves the First Amendment to the Agreement for PASSUR Data Subscription Services to extend its term for up to five additional one-year renewal terms (in addition to the original two one-year extensions), for a new total of up to seven one-year extensions. The First Amendment also increases the not-to exceed amount by an additional $1,800,000 to allow for payment of additional renewal terms at FLL.
The proposed First Amendment allows BCAD to maintain current essential subscription services utilized by BCAD Operations, Finance, Information Systems, and the Noise Mitigation Office. The agreement requires Passur Aerospace, Inc., to provide for PASSUR Data Subscription Services including PASSUR Communicator Landing Fee Audit Module, Landing Fee Billing Module, Class II Noise Feed, ETA Feed, Surface Optimization and Gate Sequencing, and Webtracker/Ariva Global Flight Tracking; SaaS, support, maintenance, and optional services.
The total value of the agreement is a maximum not-to-exceed amount of $5,200,000, which includes support and maintenance in the not-to-exceed amount of $2,000,000 for the initial term; a not-to-exceed amount of $3,100,000 for up to seven one-year renewal terms; and a not-to-exceed amount of $100,000 in optional services and reimbursables over the term of the Agreement.
The proposed First Amendment has been reviewed and approved as to form by the Office of the County Attorney.
