Why Action is Necessary
Motion A. In accordance with the Broward County Procurement Code, Section 21.25, Sole Source Procurement, Board approval is required for awards exceeding the Director of Purchasing's authority.
Motion B. In accordance with the Broward County Procurement Code, Section 21.53, the Board is required to approve all awards that extend for more than five years.

Summary Explanation/Background
THE FINANCE AND ADMINISTRATIVE SERVICES DEPARTMENT AND THE RECORDS, TAXES, AND TREASURY DIVISION RECOMMEND APPROVAL OF THE ABOVE MOTIONS.
On October 30, 2015, the Director of Purchasing approved the Hosting Services Agreement for support and maintenance services for the Government Transparency and Citizens Participation software suites.
On December 12, 2017 (Item No. 43), the Board approved reasonable source designation of Granicus, Inc. for the Legislative Management Suite software and related services; and authorized the Director of Purchasing to negotiate and execute a First Amendment to the Hosting Services Agreement.
On May 20, 2019, the Director of Purchasing approved the Second Amendment to the Hosting Services Agreement to remove the Citizen Participation Suite.
On October 20, 2020 (Item No. 54), the Board authorized the Director of Purchasing to execute a Third Amendment to the Hosting Services Agreement, extending the terms and conditions of the existing Agreement for up to an additional year, through October 29, 2021.
Motion A seeks to designate Granicus, Inc. as the only reasonable source to provide continued maintenance and support services for the Legislative Management Suite software and related services (Exhibit 1).
Motion B seeks to extend the terms and conditions of the existing Agreement for up to six months with an additional six months on a month-to-month basis, for a period not to exceed 12 months through October 29, 2022. An extension of the existing Agreement is necessary to complete the negotiations for a new Agreement with the vendor or to complete a new solicitation, if necessary (Exhibit 2).

The Fourth Amendment will increase the current not-to-exceed amount of $330,000 by $130,000 for a total not-to-exceed amount of $460,000.
