MOTION TO AUTHORIZE County Administrator to approve and execute a Second Amendment to the Software as a Service Agreement between Broward County and Blackbaud, Inc., for a comprehensive grants management system, retroactively extending the initial term of the agreement through May 24, 2023, and providing for one optional extension term, for a total maximum amount not-to-exceed $165,000, subject to review of the Second Amendment for legal sufficiency by the Office of the County Attorney; and authorize the County Administrator to take all necessary administrative and budgetary actions to implement the Second Amendment.

Section 21.47 of the Broward County Procurement Code requires Board of County Commissioners approval for agreements with a term exceeding five years.

Summary Explanation/Background
THE CULTURAL DIVISION RECOMMEND APPROVAL OF THE ABOVE MOTION.
On September 21, 2015, County and MicroEdge, LLC, entered into a Software as a Service Agreement to provide County's Cultural Division ("Division") with a customizable grant management system. The software provided by Blackbaud enables the Division to accept grant application proposals, manage compliance requirements, and receive project reports. On November 6, 2017, the Director of Purchasing approved the Assignment Agreement between Blackbaud, Inc., successor of acquisition to MicroEdge, LLC, and County. The Agreement was subsequently amended by a First Amendment dated March 21, 2018.
